Director Compensation

The pay a company’s non-employee board members receive for their board service.

Director compensation is the pay non-employee members of a company’s board receive for their board service, disclosed in its own director compensation table — separate from the Summary Compensation Table, which covers only executive officers. It is typically a mix of cash retainer fees and equity awards, most often restricted stock units that vest over a shorter period than executive grants, frequently within a year.

Committee service adds to the total: a director who chairs a board committee, for instance, is usually paid an additional retainer on top of the base board fee, and the board chair (when independent) typically receives the largest total among directors.

Director pay levels are far lower than executive pay levels at nearly every company, which is part of why they draw comparatively little scrutiny — but an unusually large or unusual director award, or a director with no reported compensation at all, is a detail worth noticing rather than skipping past.

In practice

Marvell director Brad W. Buss received $435,613 in total board compensation for fiscal 2026: $171,806 in cash fees plus $263,807 in stock awards.
